Welcome to Dani Fashion. Please read these Terms & Conditions carefully before placing an order or using our services. By placing an order, making a payment, or using our services, the customer agrees to the following terms.

1. Our Services

Dani Fashion provides women’s clothing production services, including but not limited to:

  • Ready Style Production
  • Custom Design Production
  • Ready Stock Retail & Wholesale
  • Private Label Production
  • Fabric Sourcing
  • Custom Fabric Printing
  • Hand Print Textile
  • Digital Printing
  • Rotary Printing

Each service may have different minimum order quantities, pricing, production timelines, and requirements.

2. Order Confirmation

An order is considered confirmed once the customer has reviewed and approved the order details and made the required deposit payment.

Order details may include, but are not limited to:

  • Style or design
  • Fabric
  • Color
  • Size
  • Measurements
  • Quantity
  • Print design
  • Label or branding details
  • Pricing
  • Production timeline
  • Shipping details

By making the deposit payment, the customer confirms that all approved order details are correct and final.

3. Deposit and Payment

To start an order, Dani Fashion requires a minimum deposit of 50% of the total order value.

The remaining balance must be fully paid before the goods are shipped, released, or delivered.

All payments will be finalized in Indonesian Rupiah (IDR). Any prices shown in other currencies are for reference only.

4. Order Changes

Once the deposit payment has been made, the order is considered confirmed and cannot be changed.

If the customer requires additional changes, different specifications, or new requirements after confirmation, these will need to be processed as a new or additional order, subject to pricing, material availability, and production timeline.

5. Samples

Samples may be available depending on the type of order or service requested.

Sample pricing, production time, and shipping cost will be confirmed before the sample order begins.

Please note that a sample is made as a development reference. Minor adjustments may still be needed before bulk production, and the customer is responsible for reviewing and approving the final details before confirming the bulk order.

6. Fabric and Material Availability

Fabric, trims, colors, prints, and other materials are subject to availability.

Dani Fashion may recommend suitable alternatives if the requested material is unavailable, discontinued, out of stock, or does not meet production requirements.

Any change in fabric, material, or supplier availability may affect the final price, production timeline, or product result.

7. Fabric Sourcing

Dani Fashion may assist customers in sourcing or recommending suitable fabrics based on the customer’s design, budget, style, and production needs.

However, fabric availability, pricing, color, texture, and delivery time may depend on suppliers and market conditions.

8. Custom Printing and Hand Print Textile

For custom printing, including hand print textile, digital printing, and rotary printing, the final result may vary depending on the fabric type, artwork, color, printing method, and production process.

Minor differences in color, placement, texture, or print result may occur and are not considered defects.

Each printing method may have different minimum order quantities, pricing, setup costs, production timelines, and reproduction consistency.

9. Size Charts and Measurements

Dani Fashion can provide the necessary size charts or garment measurements before order confirmation.

Customers are required to review and approve all measurements before making the deposit payment. Once the order is confirmed, the approved measurements will be used as the production reference.

Minor measurement tolerance may occur in garment production and is not considered a defect.

10. Production Timeline

Production timelines will be estimated based on the order type, quantity, fabric availability, printing process, sample development, and production schedule.

Any estimated production timeline is not a guaranteed completion date. Delays may occur due to material availability, supplier delay, customer approval delay, printing process, weather conditions, shipping disruption, or other unexpected situations.

Dani Fashion will inform the customer if there are significant changes to the production timeline.

11. Quality Control

Dani Fashion carries out quality control before shipment or delivery to ensure the products follow the confirmed order details as closely as possible.

However, minor variations in handmade production, fabric texture, color, print, size, or finishing may occur and are considered normal in garment production.

12. Ready Stock Products

Ready stock products are subject to availability. Product availability may change without prior notice.

Ready stock items may have limited sizes, colors, styles, and quantities.

Wholesale pricing may require a minimum quantity and may differ from retail pricing.

13. Private Label and Branding

Dani Fashion may provide private label or branding support depending on the customer’s order requirements.

The customer is responsible for ensuring that any logo, label, brand name, design, artwork, or trademark provided to Dani Fashion is legally owned by the customer or approved for use by the customer.

Dani Fashion is not responsible for any legal claims related to the customer’s brand, logo, artwork, design, or intellectual property.

14. Customer Design and Intellectual Property

For custom design, print design, artwork, logo, or reference provided by the customer, the customer confirms that they have the right to use those materials.

Dani Fashion is not responsible for any copyright, trademark, or intellectual property disputes caused by materials provided by the customer.

Designs, patterns, samples, photos, or production references created by Dani Fashion remain the property of Dani Fashion unless otherwise agreed in writing.

15. Shipping and Delivery

Dani Fashion can arrange domestic or international shipping based on the customer’s order details and destination.

Shipping cost will depend on destination, package weight, volume, courier, and selected service.

Dani Fashion is not responsible for delays, damage, loss, customs issues, or other problems caused by shipping providers or third parties.

 

16. Import Duties, Taxes, and Customs Fees

For international orders, any import duties, taxes, customs fees, or other charges applied by the destination country are the responsibility of the buyer or receiver.

Dani Fashion is not responsible for paying these charges, as each country has different import regulations and tax policies.

17. Returns and Refunds

Custom design, ready style production, made-to-order, private label, and custom printing orders are non-refundable, non-returnable, and cannot be exchanged once confirmed with a deposit payment.

Ready stock return or exchange requests may only be reviewed if there is a confirmed production defect and the claim is submitted within the required time frame.

18. Defect Claims

If the customer receives an item with a possible production defect, the customer must contact Dani Fashion within 24–48 hours after receiving the goods and provide clear photos or videos of the issue.

Dani Fashion will review the claim based on the confirmed order details, production specifications, and quality control records.

If the issue is confirmed as a production defect, Dani Fashion will provide a suitable solution depending on the case.

19. Force Majeure

Dani Fashion is not responsible for delays, failure to perform, or inability to complete an order caused by events beyond our reasonable control.

This may include, but is not limited to, natural disasters, extreme weather, fire, flood, pandemic, government restrictions, strikes, supplier delays, material shortages, customs delays, shipping disruptions, power outage or other unexpected events outside our control.

If such events occur, Dani Fashion may adjust the production or shipping timeline accordingly. Delays caused by force majeure are not considered valid reasons for cancellation, return, refund, or compensation.

 

20. Communication and Approval

Customers are responsible for providing clear and accurate information during the order process.

Any delay in customer response, approval, payment, artwork submission, measurement confirmation, or material confirmation may affect the production timeline.

Dani Fashion is not responsible for delays caused by incomplete, incorrect, or late information from the customer.

21. Right to Refuse or Cancel an Order

Dani Fashion reserves the right to refuse or cancel an order if the request is not suitable for our production capacity, violates our policy, involves unauthorized designs, contains inappropriate content, or cannot be fulfilled due to material, technical, or production limitations.

If an order is cancelled by Dani Fashion before production or preparation begins, any payment made may be reviewed based on the case.

22. Policy Updates

Dani Fashion may update these Terms & Conditions from time to time. Any changes will apply to future orders after the updated policy has been published or communicated.

23. Agreement

By placing an order, approving order details, or making a payment to Dani Fashion, the customer confirms that they have read, understood, and agreed to these Terms & Conditions, as well as Dani Fashion’s Payment Policy, Return & Refund Policy, invoice, and confirmed order details.

 

 

  1. Dispute Resolution, Restorative Settlement, and Jurisdiction

In the event of any dispute, claim, disagreement, or legal issue arising from or related to Dani Fashion’s services, orders, payments, products, or these Terms & Conditions, both parties agree to first attempt to resolve the matter through good-faith discussion and mutual agreement.

Both parties may apply a restorative settlement approach, where the purpose of discussion is to restore fairness, clarify responsibilities, reduce misunderstanding, and seek a reasonable solution for both parties before proceeding to formal legal action.

If the dispute cannot be resolved through discussion, the parties may proceed with mediation, alternative dispute resolution, or other legal processes in accordance with the laws of the Republic of Indonesia.

These Terms & Conditions and any related dispute or legal matter shall be governed by and interpreted in accordance with the laws of the Republic of Indonesia. Any unresolved dispute shall fall under the jurisdiction of the competent courts in Indonesia, including the relevant court in Denpasar, Bali, where applicable.

Nothing in this section shall limit Dani Fashion’s right to take necessary legal action to protect its rights, business interests, payments, products, intellectual property, or other legal interests.

 

Definitions

For the purpose of these Terms & Conditions, the following definitions shall apply:

“Agreement” means these Terms & Conditions, together with Dani Fashion’s Payment Policy, Return & Refund Policy, invoice, purchase order, confirmed order details, and any other written agreement or policy issued by Dani Fashion, as may be amended from time to time.

“Dani Fashion”, “we”, “our”, or “us” means CV. Dani Fashion Bali with registered address at Jalan Pulau Serangan Gang Rajawali No. 9, Sesetan, Denpasar Selatan, Bali 80223, Indonesia.

“Customer”, “you”, or “your” means any individual, business, brand, buyer, user, or representative who accesses the Website, uses Dani Fashion’s services, places an order, makes a payment, or purchases products from Dani Fashion.

“Website” means Dani Fashion’s official website and any related online platform, page, catalogue, or digital channel operated by Dani Fashion.

“Services” means any service provided by Dani Fashion, including but not limited to ready style production, custom design production, ready stock retail and wholesale, made-to-order production, private label production, fabric sourcing, sample making, custom fabric printing, hand print textile, digital printing, rotary printing, and related garment production services.

“Product” or “Products” means any garment, textile, sample, ready stock item, custom product, printed fabric, private label product, or other item offered, produced, sold, or supplied by Dani Fashion.

“Order” means any request made by the Customer to purchase Products or use Services from Dani Fashion, whether submitted through the Website, purchase order, invoice, catalogue, WhatsApp, email, or other written communication.

“Purchase Order” means an order form, online order form, written request, invoice reference, or any other document or communication submitted or approved by the Customer in relation to the purchase of Products or Services.

“Confirmed Order Details” means the final order details reviewed and approved by the Customer before production or processing begins, including but not limited to style, design, fabric, color, size, measurement, quantity, print, label, branding, pricing, production timeline, and shipping details.

“Deposit Payment” means the minimum upfront payment required to confirm and start an Order. Unless otherwise agreed in writing, Dani Fashion requires a minimum deposit of 30% of the total order value.

“Balance Payment” means the remaining payment that must be fully paid by the Customer before the Products are shipped, released, or delivered.

“Invoice” means the payment document issued by Dani Fashion stating the Products, Services, quantity, pricing, payment terms, currency, and other relevant order details.

“Ready Stock Products” means Products that are already available in Dani Fashion’s stock and may be purchased at retail or wholesale pricing, subject to availability.

“Custom Products” or “Made-to-Order Products” means Products made, developed, customized, printed, labeled, or produced based on the Customer’s confirmed design, reference, specifications, measurements, fabric selection, branding, or order requirements.

“Production Timeline” means the estimated time required to produce or prepare an Order. Production timelines are estimates and may be affected by fabric availability, supplier delays, printing process, customer approval, payment confirmation, production schedule, shipping disruption, or force majeure events.

“Business Days” means working days in Indonesia, excluding Sundays, public holidays, religious holidays, and any other non-operational days of Dani Fashion.

“Shipping Provider” means any courier, freight forwarder, logistics company, postal service, or third-party delivery provider used to ship or deliver the Products.

“Defect” means a confirmed production issue that materially differs from the approved order details or production specifications, subject to Dani Fashion’s review. Minor variations in color, measurement, fabric texture, hand print result, handmade details, or finishing are not considered defects.

“Force Majeure” means any event beyond Dani Fashion’s reasonable control, including but not limited to natural disasters, extreme weather, fire, flood, pandemic, government restrictions, strikes, supplier delays, material shortages, customs delays, shipping disruptions, or other unexpected events that may affect production, delivery, or performance.

“Intellectual Property” means any design, artwork, pattern, print, logo, brand name, label, image, sample, photograph, technical drawing, or other creative or commercial material used, submitted, developed, or produced in relation to Dani Fashion’s Products or Services
